Welcome to XO Scheduler LTD ("Company," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of our scheduling software-as-a-service ("SaaS"), designed for professional use only (the "Service"). By accessing or using our Service, you agree to be bound by these Terms.


If you do not agree to these Terms, you may not access or use the Service.

1. User Accounts

  • To access the Service, users must create an account.

  • Registration is limited to business users with a valid work email.

  • You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

  • We reserve the right to suspend or terminate accounts that violate these Terms.

2. Payments and Refunds

  • The Service is offered on a paid basis.

  • Payments are made via bank transfer upon receiving an invoice from XO Scheduler LTD.

  • No refunds are provided after payment.

  • We reserve the right to modify pricing at our discretion, with reasonable notice to users.

3. Permitted and Prohibited Use

  • The Service is intended for professional use only.

  • Users must not publicly share the Service on social media or with unauthorized third parties.

  • Users must not engage in unlawful activities, attempt to hack, reverse-engineer, or disrupt the platform.

4.  Intellectual Property

  • All intellectual property rights in the Service, including but not limited to software, trademarks, and content, belong to XO Scheduler LTD.

  • Users are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

5. Termination of Access

  • We reserve the right to suspend or terminate user accounts for violations of these Terms.

  • Users may request account cancellation, but payments made are non-refundable.

6. Disclaimers

The Service is provided on an "as is" and "as available" basis without any warranties, whether express or implied.

XO Scheduler LTD does not guarantee:
 

  • That the Service will be uninterrupted, error-free, or secure.

  • That any defects will be corrected or that the platform will be free from viruses, malware, or unauthorized access.

  • That the Service will meet the specific needs or expectations of users.
     

To the maximum extent permitted by law, XO Scheduler LTD disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
 

Third-Party Services: XO Scheduler LTD is not responsible for any third-party software, integrations, or content that users access through the Service.

7. Limitation of Liability

To the fullest extent permitted by law, XO Scheduler LTD and its directors, employees, affiliates, partners, and suppliers shall not be liable for:

  • Any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, goodwill, or reputation.

  •  Hacking, unauthorized access, or security breaches that result in data theft, corruption, or system disruptions.

  • Downtime, service interruptions, or data loss caused by system failures, external attacks, or maintenance.

  • Actions of third parties, including malicious attacks, unauthorized use, or fraudulent activities conducted by others.

  • Errors, inaccuracies, or delays in service performance.

  • Subcontractors and Third-Party Services: XO Scheduler LTD shall not be liable for any issues arising from third-party software, integrations, or subcontractors included within the Service. This includes but is not limited to data handling, security vulnerabilities, or service failures caused by third-party components. Users acknowledge that their use of such third-party elements is at their own risk.

  • Liability Cap: If XO Scheduler LTD is found liable for any damages, its liability shall be limited to the total amount paid by the user for the Service in the past 3 months. If the user has not made any payments, XO Scheduler LTD shall have no liability beyond what is required by applicable law.

  • Force Majeure: XO Scheduler LTD shall not be held responsible for failures or delays due to events beyond its control, including but not limited to natural disasters, cyberattacks, labor strikes, government actions, power failures, or telecommunications outages.

8. Indemnification

By using the Service, the user agrees to defend, indemnify, and hold harmless XO Scheduler LTD, its employees, officers, affiliates, suppliers, and licensors from and against any claims, damages, liabilities, legal costs, and expenses (including attorney fees) arising from:
 

  • User’s violation of these Terms, including unauthorized use of the Service.

  • Any third-party claim due to the user’s conduct, content, or data shared through the Service.

  • Any security breach or violation caused by the user’s negligence, including improper handling of login credentials.

  • Failure to comply with applicable laws or third-party rights (e.g., intellectual property, data privacy, or consumer protection laws).

  • Malicious, fraudulent, or unlawful activities conducted by the user through the Service.


XO Scheduler LTD reserves the right to assume exclusive defense and control of any matter subject to indemnification. Users agree to fully cooperate in such cases.

9. Updates to These Terms

XO Scheduler LTD reserves the right to modify or update these Terms at any time. It is the user’s responsibility to regularly review these Terms to stay informed of any changes. Continued use of the Service after updates constitutes acceptance of the revised Terms. XO Scheduler LTD is not obligated to notify users individually of updates.

10.  Governing Law and Jurisdiction

These Terms are governed by and interpreted in accordance with the laws of the United Kingdom, without regard to conflict of law principles. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
